1. No Warranties

Afconnex provides its B2B e-procurement platform on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding:

• The accuracy, reliability, or continuous availability of the platform
• The quality, safety, legality, or fitness for purpose of products offered by Suppliers
• The accuracy of Supplier profiles, product descriptions, certifications, or manufacturing claims
• The outcome, completion, or satisfaction of any transactions between users
• The timeliness or success of shipping and customs clearance

2. Platform Role

Afconnex acts solely as a marketplace platform facilitating connections between West African industrial Buyers and global Suppliers. We are not a party to any agreements or transactions between users. Specifically:

• We do not manufacture, sell, ship, or deliver any products
• We do not employ, endorse, or guarantee any Supplier
• We do not control the quality, timing, pricing, or legality of products offered
• We do not verify the accuracy of all user-provided information
• We do not act as an agent for any Buyer or Supplier

All transactions are conducted directly between Buyers and Suppliers. You acknowledge that Afconnex is a facilitator only.

3. Limitation of Liability

To the maximum extent permitted by applicable law, Afconnex, its parent company Afconnex France SAS, regional operators, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use or inability to use the platform
• Any conduct, content, or products of Buyers or Suppliers
• Any transactions or disputes between users
• Product defects, delays, or non-delivery
• Unauthorized access to your account or data
• Service interruptions, technical failures, or errors
• Customs delays, import restrictions, or regulatory issues
• Currency conversion losses or payment processing issues

Our total liability for any claim shall not exceed the platform fees actually paid by you in the twelve months preceding the claim.

4. User Responsibility

You acknowledge that you use Afconnex at your own risk. You are solely responsible for:

• Verifying the accuracy of information provided by other users
• Conducting due diligence on Suppliers before entering transactions
• Reviewing product specifications, certifications, and compliance requirements
• Understanding and complying with import/export regulations in your jurisdiction
• Your interactions, communications, and agreements with other users
• Inspecting goods upon delivery and reporting issues within specified timeframes

5. Third-Party Services

Afconnex integrates with third-party services including our integrated payment system (payment processing), AGL, CEVA, and DHL (logistics). We are not responsible for:

• The performance, availability, or actions of third-party suppliers
• Payment processing delays or failures by our integrated payment system
• Shipping delays, damages, or losses caused by logistics partners
• External websites or resources linked from our platform

Your use of third-party services is governed by their respective terms and conditions.

6. Information Accuracy

While we strive to provide accurate information, Afconnex does not guarantee the accuracy, completeness, or timeliness of any information on the platform. This includes:

• Product listings, specifications, and pricing provided by Suppliers
• Supplier credentials, certifications, and business information
• Shipping estimates and delivery timeframes
• Currency conversion rates and fee calculations

Information may change without notice. Users should independently verify critical details before making business decisions.

7. Transaction Disclaimers

Afconnex does not guarantee:

• That Suppliers will fulfill orders as described or on time
• The quality, authenticity, or compliance of products with specifications
• That Buyers will complete payment or accept delivery
• The resolution of disputes in any particular manner

While our secure transaction system provides payment protection, we cannot guarantee outcomes for all dispute scenarios. Users should maintain their own records and documentation.

8. Indemnification

You agree to indemnify, defend, and hold harmless Afconnex, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the platform or violation of these terms
• Your transactions with other users
• Your violation of any applicable laws or regulations
• Any content you submit or actions you take on the platform

9. Governing Law

This disclaimer and your use of Afconnex are governed by the laws of France, without regard to conflict of law principles. Any disputes arising from or relating to this disclaimer or your use of the platform shall be resolved in the courts of Paris, France, unless otherwise required by applicable consumer protection laws in your jurisdiction.

If any provision of this disclaimer is found to be unenforceable, the remaining provisions shall continue in full force and effect.
